By accessing or using any websites, software, or platforms (collectively, the "Services") operated by Celestiq Insights (OPC) Private Limited ("Celestiq Insights," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our Services.

2. Description of Services

Celestiq Insights operates a proprietary software umbrella that includes, but is not limited to:

VoteMyThought: A public polling and debate platform.
UnlimitedQuiz: A trivia and knowledge testing platform.
CalculateSmartly: A suite of financial and mathematical calculators.
MSME Vyapari ERP: A B2B operating system for retail billing, inventory, and ledger management.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. Account Registration & Security

Certain Services (such as MSME Vyapari) require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are entirely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use our Services to:

Violate any applicable local, state, national, or international laws or regulations.
Infringe upon the intellectual property rights, privacy rights, or other legal rights of third parties.
Distribute malware, viruses, or any other malicious code.
Attempt to reverse-engineer, decompile, or bypass the security mechanisms of our software.
Scrape, datamine, or mechanically extract data from our platforms without explicit written consent.

5. Intellectual Property Rights

All content, features, functionality, and underlying code of the Services—including but not limited to text, graphics, logos, algorithms, and software design—are the exclusive property of Celestiq Insights (OPC) Private Limited and are protected by Indian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purposes.

6. Payments, Subscriptions & Taxes

Certain Services, such as MSME Vyapari ERP, are offered on a paid subscription basis. By selecting a paid tier, you agree to pay all applicable fees and taxes. Payments are processed securely via third-party gateways (e.g., PhonePe). Unless otherwise stated, all fees are non-refundable (please refer to our Refund & Cancellation Policy). You are responsible for all applicable local taxes (e.g., GST) associated with your purchase.

7. Disclaimers & Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CELESTIQ INSIGHTS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CELESTIQ INSIGHTS (OPC) PRIVATE LIMITED, ITS DIRECTOR, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka, India.
